Terms of Service

By creating an account or using Toolbelt, you agree to these Terms. If you don't agree, please don't use the Service.

1. About Toolbelt

Toolbelt is a mobile-first web application that helps Australian sole traders and small trade businesses create invoices from voice recordings, manage clients, and track GST obligations.

The Service is operated from Queensland, Australia. The legal operator's full name and ABN will be published in these Terms upon business registration — until then, all legal correspondence should be directed to support@usetoolbelt.app.

These Terms of Service govern your access to and use of the Toolbelt application, website, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

Registration

You must register with a valid email address. You are responsible for maintaining the security of your credentials and for all activity under your account. Contact us immediately at support@usetoolbelt.app if you suspect unauthorised access.

Account accuracy

You agree to provide accurate information about your business including your business name and ABN where applicable. Misleading information may result in account suspension.

One account per person

Each account is for a single business operator. You may not share accounts or create multiple accounts to circumvent usage limits.

4. Subscription Plans

Free plan

The Free plan costs $0 and includes up to 10 voice transcription jobs per calendar month, forever — no credit card required. Unused credits do not carry over between months.

Pro plan

The Pro plan is available at $7 AUD per month (or $59 AUD per year) and includes up to 30 voice jobs per calendar month, automatic overdue-invoice reminders, a BAS accountant export pack, and custom invoice branding. Unused credits do not carry over between months.

Premium plan

The Premium plan is available at $14.99 AUD per month and includes SMS invoice delivery and reminders, receipt-photo expense capture, Xero/MYOB export, and priority support, in addition to everything in Pro. Premium is not yet open for signup. Pricing may change with 30 days' notice to existing subscribers.

Billing and refunds

Paid plans (Pro and Premium) are not yet available for purchase — this section describes how billing will work once they launch. All paid subscriptions will be billed monthly or annually via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period with no refund for the unused portion. Refund requests for billing errors must be submitted within 14 days to support@usetoolbelt.app. Nothing in these Terms limits any rights you may have under the Australian Consumer Law.

You agree not to use Toolbelt to:

We reserve the right to immediately suspend or terminate accounts in cases of fraud, serious security risk, or illegal activity. For other violations of these Terms, we will notify you and provide a reasonable opportunity to remedy the breach before taking action.

6. Your Content

You retain full ownership of all data you create in Toolbelt — invoices, client records, job notes, and business information. You grant Toolbelt a limited, non-exclusive licence to store and process that content solely to provide the Service. We do not claim ownership of your content and will not use it for any other purpose.

7. Voice Transcription

When you use the voice recording feature, your audio is transmitted to OpenAI's Whisper API for transcription. By using this feature you consent to that transmission. Toolbelt does not retain raw audio after transcription is complete.

Transcription may not be 100% accurate. Always review the generated invoice before sending it to a client. You are solely responsible for the accuracy of invoices you issue.

8. Tax and Financial Information

Important: Toolbelt is not a registered tax agent or BAS agent under the Tax Agent Services Act 2009 (Cth). Nothing in the Service constitutes tax, financial, or legal advice.

GST calculations, BAS summaries, and invoice totals are estimates based on the information you enter. You remain solely responsible for correctly lodging your BAS with the ATO and obtaining advice from a qualified registered tax agent.

9. Third-Party Services

Toolbelt integrates with the following services to deliver its features: Supabase (database, Sydney AU), OpenAI Whisper (voice transcription) and OpenAI GPT-4o (invoice parsing from transcripts and typed text — this applies to all users including those who use the "type instead" mode), Stripe (payments), Vercel (hosting, Sydney AU), and Google Gmail (email delivery). These services have their own terms and privacy policies and Toolbelt is not responsible for their acts or omissions.

10. Availability and Changes

We aim to keep Toolbelt available at all times but do not guarantee uninterrupted access. We may modify or remove features with reasonable notice. For material changes to paid features — including removal of a feature included in your subscription — we will provide at least 14 days' prior notice by email. If a paid feature is removed during a billing period, we will offer a pro-rata refund for the unused portion.

11. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law, Toolbelt is not liable for any indirect, incidental, or consequential losses arising from your use of the Service, including lost revenue, incorrect tax calculations, failed email delivery, or data loss. Where liability cannot be excluded, it is limited to resupply of the Service or a refund of fees paid in the relevant billing period.

12. Termination

You may close your account at any time by contacting support@usetoolbelt.app. On termination, your data will be retained for up to 30 days then permanently deleted, unless we are required by law to retain it longer.

Before closing your account, download any invoices you need as PDFs. A one-click bulk export (CSV + all PDFs) is on our roadmap — we will notify subscribers when it becomes available. Note that Australian tax law requires you to retain business records for at least five years; you are responsible for maintaining your own records independently of the Service.

13. Governing Law

These Terms are governed by the laws of Queensland, Australia. Any disputes are subject to the non-exclusive jurisdiction of the courts of Queensland. We encourage you to contact us first to resolve disputes informally before commencing proceedings.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance of the updated Terms.
